Welcome to VividSpark, operated by VIVIDTECH PTE. LTD., a company incorporated in Singapore ("VividSpark," "we," "our," or "us").
These Terms of Service ("Terms") govern your access to and use of the VividSpark website, applications, AI-powered creator tools, music licensing services, and all related products and services (collectively, the "Services").
By creating an account, purchasing a subscription, purchasing Spark Credits, downloading licensed music, or otherwise using the Services, you agree to be legally bound by these Terms. If you do not agree with these Terms, you must not use the Services.
VividSpark is an AI-native creator growth platform that provides creative tools including AI-powered soundtrack matching, music licensing, publishing workflow, analytics, and related services for content creators worldwide.
The Services are available to users worldwide. There are currently no geographic restrictions on account registration. Because VividSpark primarily provides creative software, music licensing, and publishing tools, no specific minimum age requirement is imposed by these Terms.
By creating an account, you represent that:
To access certain features, you must create an account. When creating an account, you agree to provide accurate registration information, maintain the security of your account credentials, keep your email address up to date, and notify us promptly of any unauthorized account activity.
Usernames may consist of real names, nicknames, creator names, or other identifiers. We do not require usernames to follow any specific format.
You are solely responsible for all activities occurring under your account.
You are responsible for maintaining the confidentiality of your login credentials.
You must not share your account with others, allow third parties to access your account, circumvent authentication mechanisms, or attempt to gain unauthorized access to another user's account.
VividSpark is not responsible for losses resulting from your failure to maintain account security.
VividSpark currently offers monthly subscription plans. Subscriptions automatically renew unless canceled.
Subscription benefits apply only while the subscription remains active.
See section 7 for how unused Subscription Credits are handled at renewal, and for the full Spark Credits terms.
Subscriptions automatically renew on a recurring monthly basis. You may cancel your subscription at any time through the Stripe Billing Portal. Cancellation prevents future renewals but does not automatically refund payments already made.
Your subscription benefits remain available until the end of the current billing period.
Spark Credits are virtual usage credits used within the Services. They are not legal tender, stored value, electronic money, cryptocurrency, or transferable property. They represent a limited license to access eligible platform features.
Free Plan Credits: Accounts on the Free plan currently receive 200 complimentary Spark Credits each month, granted as a top-up to that amount rather than added to any balance you already hold. Complimentary Spark Credits may be modified, discontinued, or withdrawn at any time.
Subscription Credits:Spark Credits included with a paid plan are added to your balance at the start of each billing cycle and are meant to be used within that cycle. When the next cycle's credits are added, any unused Subscription Credits from the previous cycle are removed. Credits from other sources are never removed this way.
Purchased Credit Packs:
Purchased Spark Credits do not expire unless required by applicable law.
Promotional Credits: Spark Credits added through promo codes, partner offers, referral rewards or other promotions are complimentary. We may attach conditions to them at the time they are issued, including an expiry date or a limit on which features they can be used for; any such condition is shown before you redeem and in your credit history. We may modify or withdraw a promotion at any time, and may reverse promotional credits obtained in breach of these Terms.
Spending order: When your balance holds Spark Credits from more than one source, usage draws on promotional credits first, starting with those closest to expiry, and only then on your other credits. Because promotional credits are used first, they may cover usage that would otherwise have drawn on your Subscription Credits, so a larger amount of unused Subscription Credits may be removed at your next renewal than if you held no promotional credits. Promotional credits themselves are never removed at renewal; they leave your balance only when you use them or when their own expiry date passes.
AI Soundtrack Master: Master is paid for with Spark Credits from your balance, in the spending order above. Its price depends on the length of the video, is shown before you start, and is charged in full when you start. Master is available for videos up to 5 minutes long. Accounts that have never made a payment to VividSpark can complete one Master run per calendar month (UTC); accounts that have made a payment have no monthly limit. A payment means a Credit Pack purchase or a subscription charge that was actually paid; charges fully covered by a promotional code or account balance, and payments that were fully refunded, do not count. A run that is still in progress counts toward the monthly limit; a run that fails and has its credits returned does not.
Spark Credits are not transferable between accounts and are not redeemable for cash.
Payments are processed securely through Stripe. By purchasing a subscription or Credit Pack, you authorize Stripe to process applicable charges using your selected payment method. Applicable taxes, fees, or currency conversion charges may be imposed by your payment provider or local authorities.
Credit Packs: If a Credit Pack purchase is refunded, the corresponding Spark Credits may be deducted proportionally from your account. If the refunded Credits have already been consumed, VividSpark reserves the right to recover the value of those Credits or suspend related services.
AI Feature Failures: If an eligible AI feature fails due to a verified platform error, the Spark Credits consumed by that failed operation will generally be automatically returned to your account. Automatic restoration applies only to system failures and does not apply to dissatisfaction with generated results.
AI Soundtrack Master:Before you start, we show the total Spark Credits to be charged, based on the video's duration. The charge is made when you start. A run normally completes within 40 minutes. If no usable watermarked preview is produced within 40 minutes, or the run otherwise ends in failure, all Spark Credits charged for that run will be returned to your account automatically, normally immediately and no later than 24 hours. A preview is not usable if it cannot be played or does not contain the requested Master soundtrack because of a technical failure. Once processing starts, it cannot be cancelled through the product. After a usable preview is delivered, requests for creative changes do not by themselves entitle you to a credit return, but you may contact support about a defective result or incorrect charge. Nothing in these Terms limits any refund, withdrawal, conformity or other rights that cannot lawfully be excluded under applicable consumer law.
Subscription Refunds: Subscription payments are generally non-refundable. Refund requests may be reviewed individually based on billing errors, duplicate payments, technical issues, or exceptional circumstances. Approval of refunds remains at VividSpark's sole discretion where permitted by applicable law.
All music available through VividSpark remains protected by copyright. Downloading licensed music grants you a license to use the music according to the purchased license tier. Ownership of the music is not transferred.
Unless expressly stated otherwise, licenses are non-exclusive, royalty-free after purchase, perpetual, require no recurring royalty payments, and attribution is not required.
Music licenses become valid upon successful completion of the applicable purchase.

Eligibility is determined once, at the time the license is granted, by the status of your account on that date. If your account subsequently becomes monetized, every track already licensed under a Personal License remains validly licensed for the works in which it was already used, and no upgrade or additional payment is required for those tracks. Tracks licensed after your account becomes monetized require a Commercial License.
VividSpark does not verify your account status. You are responsible for selecting the license tier that matches your circumstances at the time of licensing.
Except as provided above, Personal Licenses may not be used for revenue-generating commercial activities.
A Personal License included with a video export conveys the right to use the track in the finished video produced by that analysis. It does not include delivery of the separate audio files (WAV and MP3). A Personal License purchased on its own does include those files, regardless of where the purchase was made and regardless of whether a paid analysis is associated with the track.

You retain ownership of all videos, images, and other content you upload to VividSpark. By uploading content, you grant VividSpark a limited, non-exclusive, worldwide license to process uploaded files, analyze content using AI, generate music recommendations, produce publishing assets, and provide requested Services. This license includes processing by the service providers, including AI service providers, that we use to operate the Services and that act on our behalf, as described in our Privacy Policy.
This license exists solely for operating the Services and terminates when your content is deleted, except where limited retention is required by law or technical backup processes.
People in Your Content.You represent and warrant that you have all rights, permissions and lawful grounds necessary to upload and instruct us to process content containing another person's image, voice, personal information or other protected material; that you have provided any notices and obtained any consents required by applicable law; and that you will not use the Services to identify a person from biometric data or to process children's or sensitive personal data unless you are legally entitled to do so. These obligations do not limit any rights that individuals have under applicable law.
By using the Services, you represent and warrant that you own or have all necessary rights to upload your content, your content does not infringe the intellectual property rights of others, your content complies with applicable laws, your content does not contain malicious software, and you have obtained any permissions required for people appearing in uploaded content.
You are solely responsible for all uploaded materials.
VividSpark provides AI-powered creative assistance. Although we continuously improve our AI systems, you acknowledge that AI-generated recommendations may not always meet your expectations, music recommendations are suggestions rather than guarantees, AI analysis may occasionally contain inaccuracies, and final creative decisions remain your responsibility. You should independently review all AI-generated results before publication or commercial use.
Some features, such as AI Soundtrack Master, use AI models provided by third parties. Running the same feature again on the same video may give a different result.
Users must respect the intellectual property rights of others. You may not upload content that unlawfully contains copyrighted music, video, images, or other protected materials. Where applicable, VividSpark may remove infringing content, suspend accounts, or cooperate with copyright owners in accordance with applicable law.
You agree not to:
VividSpark reserves the right to suspend or permanently terminate accounts that violate these Terms, including payment fraud, credit theft, unauthorized account sharing, abuse of refunds, security attacks, automated abuse, serious copyright violations, and repeated violations of these Terms.
Suspension or termination may occur immediately and without prior notice where reasonably necessary to protect the platform, other users, or applicable legal rights.

The Services, including software, source code, AI models, interface design, graphics, branding, logos, documentation, music library organization, databases, trademarks, and website content, are owned by or licensed to VIVIDTECH PTE. LTD. and are protected by copyright, trademark, and other intellectual property laws.
Except as expressly permitted under these Terms, no rights are transferred to you.
We continuously improve VividSpark. Accordingly, we may add features, remove features, modify pricing, update subscription plans, discontinue services, or change supported integrations. Where reasonably practicable, material changes will be communicated in advance.
The Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by applicable law, VividSpark disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and accuracy of AI-generated output.
To the fullest extent permitted by law, VIVIDTECH PTE. LTD. shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to your use of the Services, including lost profits, loss of business, loss of goodwill, data loss, business interruption, or lost opportunities.
Where liability cannot be excluded by applicable law, our total aggregate liability shall not exceed the total amount you paid to VividSpark during the twelve (12) months immediately preceding the event giving rise to the claim.
You agree to defend, indemnify, and hold harmless VIVIDTECH PTE. LTD., its directors, officers, employees, affiliates, and service providers from any claims, liabilities, damages, losses, or expenses arising from your use of the Services, your uploaded content, your violation of these Terms, or your infringement of another person's rights.
These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to conflict of law principles.
The parties shall first attempt to resolve disputes through good-faith discussions. If a dispute cannot be resolved informally, it shall be submitted to the competent courts of Singapore, unless applicable law requires otherwise.
We may update these Terms from time to time. Material changes will become effective upon publication on our website or through other reasonable notice. Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
These Terms, together with our Privacy Policy and any additional policies expressly incorporated by reference, constitute the entire agreement between you and VIVIDTECH PTE. LTD. regarding the Services and supersede all prior agreements relating to the same subject matter.
