Welcome to VividSpark, operated by VIVIDTECH PTE. LTD., a company incorporated in Singapore ("VividSpark," "we," "our," or "us").
These Terms of Service ("Terms") govern your access to and use of the VividSpark website, applications, AI-powered creator tools, music licensing services, and all related products and services (collectively, the "Services").
By creating an account, purchasing a subscription, purchasing Spark Credits, downloading licensed music, or otherwise using the Services, you agree to be legally bound by these Terms. If you do not agree with these Terms, you must not use the Services.
VividSpark is an AI-native creator growth platform that provides creative tools including AI-powered soundtrack matching, music licensing, publishing workflow, analytics, and related services for content creators worldwide.
The Services are available to users worldwide. There are currently no geographic restrictions on account registration. Because VividSpark primarily provides creative software, music licensing, and publishing tools, no specific minimum age requirement is imposed by these Terms.
By creating an account, you represent that:
To access certain features, you must create an account. When creating an account, you agree to provide accurate registration information, maintain the security of your account credentials, keep your email address up to date, and notify us promptly of any unauthorized account activity.
Usernames may consist of real names, nicknames, creator names, or other identifiers. We do not require usernames to follow any specific format.
You are solely responsible for all activities occurring under your account.
You are responsible for maintaining the confidentiality of your login credentials.
You must not share your account with others, allow third parties to access your account, circumvent authentication mechanisms, or attempt to gain unauthorized access to another user's account.
VividSpark is not responsible for losses resulting from your failure to maintain account security.
VividSpark currently offers monthly subscription plans. Subscriptions automatically renew unless canceled.
Subscription benefits apply only while the subscription remains active.
Unused subscription Spark Credits expire at the end of each billing cycle and do not roll over into future billing periods.
Subscriptions automatically renew on a recurring monthly basis. You may cancel your subscription at any time through the Stripe Billing Portal. Cancellation prevents future renewals but does not automatically refund payments already made.
Your subscription benefits remain available until the end of the current billing period.
Spark Credits are virtual usage credits used within the Services. They are not legal tender, stored value, electronic money, cryptocurrency, or transferable property. They represent a limited license to access eligible platform features.
Welcome Credits: New users currently receive 200complimentary Spark Credits as a welcome bonus. Promotional Spark Credits may be modified, discontinued, or withdrawn at any time.
Subscription Credits reset every billing cycle, cannot be transferred to future billing periods, and expire if unused before renewal.
Purchased Credit Packs:
Purchased Spark Credits do not expire unless otherwise required by applicable law.
Payments are processed securely through Stripe. By purchasing a subscription or Credit Pack, you authorize Stripe to process applicable charges using your selected payment method. Applicable taxes, fees, or currency conversion charges may be imposed by your payment provider or local authorities.
Credit Packs: If a Credit Pack purchase is refunded, the corresponding Spark Credits may be deducted proportionally from your account. If the refunded Credits have already been consumed, VividSpark reserves the right to recover the value of those Credits or suspend related services.
AI Feature Failures: If an eligible AI feature fails due to a verified platform error, the Spark Credits consumed by that failed operation will generally be automatically returned to your account. Automatic restoration applies only to system failures and does not apply to dissatisfaction with generated results.
Subscription Refunds: Subscription payments are generally non-refundable. Refund requests may be reviewed individually based on billing errors, duplicate payments, technical issues, or exceptional circumstances. Approval of refunds remains at VividSpark's sole discretion where permitted by applicable law.
All music available through VividSpark remains protected by copyright. Downloading licensed music grants you a license to use the music according to the purchased license tier. Ownership of the music is not transferred.
Unless expressly stated otherwise, licenses are non-exclusive, royalty-free after purchase, perpetual, require no recurring royalty payments, and attribution is not required.
Music licenses become valid upon successful completion of the applicable purchase.

Eligibility is determined once, at the time the license is granted, by the status of your account on that date. If your account subsequently becomes monetized, every track already licensed under a Personal License remains validly licensed for the works in which it was already used, and no upgrade or additional payment is required for those tracks. Tracks licensed after your account becomes monetized require a Commercial License.
VividSpark does not verify your account status. You are responsible for selecting the license tier that matches your circumstances at the time of licensing.
Except as provided above, Personal Licenses may not be used for revenue-generating commercial activities.
A Personal License included with a video export conveys the right to use the track in the finished video produced by that analysis. It does not include delivery of the separate audio files (WAV and MP3). A Personal License purchased on its own does include those files, regardless of where the purchase was made and regardless of whether a paid analysis is associated with the track.

Unless expressly permitted by the applicable license, you may not:
You retain ownership of all videos, images, and other content you upload to VividSpark. By uploading content, you grant VividSpark a limited, non-exclusive, worldwide license to process uploaded files, analyze content using AI, generate music recommendations, produce publishing assets, and provide requested Services.
This license exists solely for operating the Services and terminates when your content is deleted, except where limited retention is required by law or technical backup processes.
By using the Services, you represent and warrant that you own or have all necessary rights to upload your content, your content does not infringe the intellectual property rights of others, your content complies with applicable laws, your content does not contain malicious software, and you have obtained any permissions required for people appearing in uploaded content.
You are solely responsible for all uploaded materials.
VividSpark provides AI-powered creative assistance. Although we continuously improve our AI systems, you acknowledge that AI-generated recommendations may not always meet your expectations, music recommendations are suggestions rather than guarantees, AI analysis may occasionally contain inaccuracies, and final creative decisions remain your responsibility. You should independently review all AI-generated results before publication or commercial use.
Users must respect the intellectual property rights of others. You may not upload content that unlawfully contains copyrighted music, video, images, or other protected materials. Where applicable, VividSpark may remove infringing content, suspend accounts, or cooperate with copyright owners in accordance with applicable law.
You agree not to:
VividSpark reserves the right to suspend or permanently terminate accounts that violate these Terms, including payment fraud, credit theft, unauthorized account sharing, abuse of refunds, security attacks, automated abuse, serious copyright violations, and repeated violations of these Terms.
Suspension or termination may occur immediately and without prior notice where reasonably necessary to protect the platform, other users, or applicable legal rights.

The Services, including software, source code, AI models, interface design, graphics, branding, logos, documentation, music library organization, databases, trademarks, and website content, are owned by or licensed to VIVIDTECH PTE. LTD. and are protected by copyright, trademark, and other intellectual property laws.
Except as expressly permitted under these Terms, no rights are transferred to you.
We continuously improve VividSpark. Accordingly, we may add features, remove features, modify pricing, update subscription plans, discontinue services, or change supported integrations. Where reasonably practicable, material changes will be communicated in advance.
The Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by applicable law, VividSpark disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and accuracy of AI-generated output.
To the fullest extent permitted by law, VIVIDTECH PTE. LTD. shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to your use of the Services, including lost profits, loss of business, loss of goodwill, data loss, business interruption, or lost opportunities.
Where liability cannot be excluded by applicable law, our total aggregate liability shall not exceed the total amount you paid to VividSpark during the twelve (12) months immediately preceding the event giving rise to the claim.
You agree to defend, indemnify, and hold harmless VIVIDTECH PTE. LTD., its directors, officers, employees, affiliates, and service providers from any claims, liabilities, damages, losses, or expenses arising from your use of the Services, your uploaded content, your violation of these Terms, or your infringement of another person's rights.
These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to conflict of law principles.
The parties shall first attempt to resolve disputes through good-faith discussions. If a dispute cannot be resolved informally, it shall be submitted to the competent courts of Singapore, unless applicable law requires otherwise.
We may update these Terms from time to time. Material changes will become effective upon publication on our website or through other reasonable notice. Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
These Terms, together with our Privacy Policy and any additional policies expressly incorporated by reference, constitute the entire agreement between you and VIVIDTECH PTE. LTD. regarding the Services and supersede all prior agreements relating to the same subject matter.
